Any attempted assignment in violation of this clause shall be void and without effect.
23. Entire Agreement
This Agreement supersedes all prior agreements, arrangements and undertakings between the parties and constitutes the entire agreement between the parties relating to the subject matter of this Agreement. However the obligations of the parties under any pre-existing non-disclosure agreement shall remain in full force and effect in so far as there is no conflict between the same. The parties confirm that they have not entered into this Agreement on the basis of any representation that is not expressly incorporated into this Agreement.
24. Force Majeure
Neither Party shall be liable for any delay in meeting, or failure to meet, its obligations under this Agreement due to any cause outside its reasonable control including (without limitation) acts of God, war, riot, malicious acts of damage, fire, acts of any government authority, failure of the public electricity supply, strike, lock-out or labour dispute or apprehension thereof (whether or not the settlement of the matter is at the discretion of the Party in question).
25. Notices
-
Clause 25.1. All notices under this Agreement shall be in writing.
-
Clause 25.2. Notices shall be deemed to have been duly given:
- when delivered, if delivered by courier or other messenger (including registered mail) during normal business hours of the recipient; or
- when sent, if transmitted by e-mail and a transmission report or return receipt indicating failure of transmission is not generated; or
- on the fifth business day following mailing, if mailed by Royal Mail; or
- on the tenth business day following mailing, if mailed by airmail, postage prepaid,
in each case addressed to the most recent address or e-mail address notified to the other party.
26. Schedules
The provisions of the Schedules to this Agreement shall form part of this Agreement as if set out here.
27. Severance
If any provision of this Agreement is prohibited by law or judged by a court to be unlawful, void or unenforceable, the provision shall, to the extent required, be severed from this Agreement and rendered ineffective as far as possible without modifying the remaining provisions of this Agreement, and shall not in any way affect any other circumstances of or the validity or enforcement of this Agreement.
28. Successors and Assignees
-
Clause 28.1. This Agreement shall be binding upon, and inure to the benefit of, the Parties and their respective successors and permitted assignees, and references to a Party in this Agreement shall include its successors and permitted assignees.
-
Clause 28.2. In this Agreement references to a Party include references to a person:
- who for the time being is entitled (by assignment, novation or otherwise) to that party’s rights under this Agreement (or any interest in those rights); or
- who, as administrator, liquidator or otherwise, is entitled to exercise those rights,
and in particular those references include a person to whom those rights (or any interest in those rights) are transferred or pass as a result of a merger, division, reconstruction or other reorganisation involving that party. For this purpose, references to a Party’s rights under this Agreement include any similar rights to which another person becomes entitled as a result of a novation of this Agreement.
29. Waiver
No delay, neglect or forbearance on the part of either party in enforcing against the other party any term or condition of this Agreement shall either be or be deemed to be a waiver or in any way prejudice any right of that party under this Agreement. No right, power or remedy in this Agreement conferred upon or reserved for either party is exclusive of any other right, power or remedy available to that party.
30. Counterparts
This Agreement may be executed in any number of counterparts or duplicates, each of which shall be an original, and such counterparts or duplicates shall together constitute one and the same agreement.
31. Time of the Essence
Time shall be of the essence in this Agreement as regards any time, date or period mentioned in this Agreement or subsequently substituted as a time, date or period by agreement in writing between the parties.
32. Sub-Contracting
With the prior written consent of the Customer (such consent not to be unreasonably withheld or delayed) VibeMagic may perform any or all of its obligations under this Agreement by the use of agents or sub-contractors, provided that VibeMagic shall remain liable for such performance and shall indemnify the Customer against any loss or damage suffered by the Customer arising from any act or omission of such agents or sub-contractors.
33. Language
This Agreement is made only in the English language. If there is any conflict in the meaning between the English language version of this Agreement and any version or translation of it in any other language, the English language version shall prevail.
34. Costs and Expenses
Each party shall bear its own legal costs and other costs and expenses arising in connection with the drafting, negotiation, execution and registration (if applicable) of this Agreement.
35. Set-Off
Where either party has incurred any liability to the other party, whether under this Agreement or otherwise, and whether such liability is liquidated or unliquidated, each party may set off the amount of such liability against any sum that would otherwise be due to the other party under this Agreement.
36. Third Parties
The parties confirm their intent (subject to clause 14.8) not to confer any rights on any third parties by virtue of this Agreement and accordingly the Contracts (Rights of Third Parties) Act 1999 shall not apply to this Agreement.
37. Dispute Resolution
-
Clause 37.1. For the purpose of this clause 37, a dispute shall be deemed to have arisen when one Party serves on the other a notice in writing (not including e-mail) stating the nature of the dispute.
-
Clause 37.2. Any dispute which may arise between the parties concerning this Agreement shall be determined as follows.
-
Clause 37.3. Within seven days the representatives of the Parties shall meet to attempt to settle the dispute by mutual agreement.
-
Clause 37.4. If the representatives fail to reach a mutual agreement a director or partner of each of the Parties shall meet within the following seven days to attempt to settle the dispute by mutual agreement.
-
Clause 37.5. If the dispute remains unresolved and is of a technical nature relating to the functions or capabilities of the Software or any similar or related matter then such a dispute shall be referred for final settlement to an expert nominated jointly by the parties or failing such nomination within fourteen days after either Party’s request to the other therefore nominated at the request of either party by the President for the time being of the British Computer Society. Such expert shall be deemed to act as an expert and not as an arbitrator. His decision shall (in the absence of clerical or manifest error) be final and binding on the Parties in equal shares unless he determines that the conduct of either Party is such that such Party should bear all of such fees.
-
Clause 37.6. In any other case if the dispute remains unresolved the dispute shall be determined by the High Court of Justice in England and the Parties submit to the exclusive jurisdiction of that Court for such purposes.
38. Use of This Website
-
Clause 38.1. This clause 38 applies to anyone using the VibeMagic website, whether or not they are a Customer. Using the website means accepting this clause.
-
Clause 38.2. All content on this website, including text, graphics, logos, screenshots, video and the arrangement of them, belongs to VibeMagic or its licensors and is protected by copyright and other Intellectual Property Rights. You may view, download and print pages for your own reference. You may not republish, sell, rent or sub-licence any part of the website, or reproduce it as part of a competing product or service, without our written permission.
-
Clause 38.3. You must not:
- use the website in any way that is unlawful, fraudulent, or intended to harm any person;
- introduce viruses, worms or any other material that is malicious or technologically harmful;
- attempt to gain unauthorised access to the website, the servers on which it is stored, or any connected system;
- carry out any automated scraping, crawling or bulk downloading beyond what a search engine ordinarily does, or place unreasonable load on our infrastructure.
-
Clause 38.4. We work to keep the website available, but we do not guarantee that it will be uninterrupted, error-free or free of viruses. We may suspend, withdraw or change all or any part of the website without notice.
-
Clause 38.5. Where the website links to third party sites or resources, those links are provided for information only. We have no control over their contents and accept no responsibility for them or for any loss arising from your use of them.
-
Clause 38.6. Information on the website about our services, products, prices and availability is provided in good faith for general information. It is not an offer, and it does not form part of any Agreement unless it is repeated in a Specification.
39. Workshops and Training
-
Clause 39.1. A workshop place is confirmed when we have accepted your booking and received payment in full. Prices are per person and exclusive of VAT. Places are limited and are allocated in the order bookings are confirmed.
-
Clause 39.2. You may transfer a confirmed place to another named person at any time before the workshop starts, at no charge, by telling us in writing.
-
Clause 39.3. If you cancel more than 14 days before the workshop date we will refund the fee in full. If you cancel within 14 days of the workshop date, or do not attend, the fee is not refundable, though we will use reasonable efforts to move you to a later date where one is available.
-
Clause 39.4. If we cancel or reschedule a workshop, you may take a place on the next available date or receive a full refund. We are not liable for travel, accommodation or other costs you incur in connection with a workshop.
-
Clause 39.5. Workshop materials, exercises and sample code are licensed to you for your own use and for use inside your organisation. They may not be resold, published, or used to deliver training to third parties.
-
Clause 39.6. For online workshops you are responsible for having a working internet connection and the software we tell you about in advance. Workshops are learning sessions: nothing built or discussed during one is a Deliverable, and clauses 6 and 9 do not apply to it.
40. Support Plans and Credits
-
Clause 40.1. A support plan gives you access to VibeMagic engineers for guidance, review and help when you are stuck, within the hours and response targets published for that plan. The response targets in clause 8.4 apply to faults in Software we have built for you; guidance requests under a support plan are answered within the plan's own published times.
-
Clause 40.2. Support plans are billed in advance for the period stated at the point of purchase, and renew for successive periods unless either party gives notice before the renewal date.
-
Clause 40.3. Where a plan includes a number of credits, hours or sessions, those are for use within the plan period. Unused credits expire at the end of the period and are not refundable or transferable unless we agree otherwise in writing.
-
Clause 40.4. Support plans are provided on a fair use basis. If usage is materially and repeatedly beyond what the plan describes, we will discuss moving you to a more suitable plan rather than simply withdrawing help.
-
Clause 40.5. A support plan is advice and assistance. It does not transfer responsibility for your code, your data or your production systems to us, and it does not make us the author of software you build, except where we have separately agreed to build it under a Specification.
41. Ready-to-Use Apps
-
Clause 41.1. This clause applies to pre-built applications and templates supplied through the VibeMagic app store, as distinct from Software developed for you under a Specification.
-
Clause 41.2. On payment in full we grant you a perpetual, non-exclusive, worldwide licence to install, run, modify and extend the app for your own purposes or those of your organisation, including in your own commercial products.
-
Clause 41.3. You may not resell, redistribute or sub-licence the app substantially as supplied, or offer it on any marketplace or as a template or starter kit for others to build from.
-
Clause 41.4. Ownership of the Intellectual Property Rights in the app itself stays with VibeMagic. You own the changes you make and anything you build on top of it.
-
Clause 41.5. Ready-to-use apps are supplied as they are. Unless we state otherwise at the point of sale, clause 9 does not apply to them, no support or updates are included, and we are not obliged to keep any app available for purchase or download.
-
Clause 41.6. Third party components distributed with an app remain subject to their own licences, which we will identify with the app.
42. Online Orders and Cancellation Rights
-
Clause 42.1. Where you place an order through the website rather than under a Specification, your order is an offer to buy. A contract is formed when we send you an order confirmation. Prices shown at checkout are exclusive of VAT unless stated otherwise, and VAT is added where it applies.
-
Clause 42.2. If we cannot supply an item, or if it was listed at a manifestly incorrect price, we may decline the order and will refund anything already paid in full.
-
Clause 42.3. If you are a consumer buying outside the course of a business, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you 14 days from the day after the contract is formed to cancel and receive a refund. Two exceptions apply:
- for digital content downloaded immediately, you ask us to start supply straight away and acknowledge that you lose the right to cancel once the download begins;
- for a workshop on a specific date, the right to cancel under those Regulations does not apply, and the terms in clause 39 apply instead.
-
Clause 42.4. To cancel under clause 42.3, tell us in writing before the 14 days end. We will refund you by the same method you paid, within 14 days of accepting the cancellation.
-
Clause 42.5. Nothing in these terms affects your statutory rights as a consumer, including your rights under the Consumer Rights Act 2015.
-
Clause 42.6. Where an order requires you to create an account, you are responsible for keeping your credentials secure and for activity carried out under your account. Tell us promptly if you believe your account has been used without your permission.
If anything here is unclear, or you need these terms in another format, contact us and we will talk it through.
